1. Introduction

Welcome to Quana LLP ("we", "our", "us"). These Terms and Conditions govern your access to and use of the Quana platform, including all associated websites, applications, and services (collectively, the "Service"). Quana LLP is owned and operated from Bengaluru, Karnataka, India.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Acceptance of Terms

By creating an account, accessing, or otherwise using the Service, you enter into a binding agreement with Quana LLP. These Terms apply to all users, including visitors, registered users, and any other person who accesses the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. In that case, "you" and "your" shall refer to such entity.

3. Description of Service

Quana LLP is a design-first software-as-a-service (SaaS) company that builds cost-effective, scalable solutions for small and medium businesses across industries including Hospitality, Retail, Real Estate, Education, Healthcare, and Logistics.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

4. User Accounts & Registration

To access certain features, you must register for an account. You may register using an email address and password or through supported third-party authentication providers. You agree to provide accurate, current, and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised access.

Each user may create or be invited to one or more organisational accounts. Account owners and administrators may invite additional members with varying levels of access.

5. Subscription & Billing

Quana LLP offers various subscription plans, which may include free and paid tiers. Details of available plans, features, and pricing (denominated in Indian Rupees, INR) are published on our website and may be updated from time to time.

Payments for paid subscriptions are processed through our third-party payment processors. By subscribing to a paid plan, you agree to the respective processor's terms of service. You authorise us to charge applicable fees on a recurring basis.

All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which will be added where required by law. Subscription fees are non-refundable except as expressly stated in our refund policy or as required by applicable law.

6. User Responsibilities

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems.
  • Upload or transmit any malicious code, viruses, or harmful content.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reproduce, duplicate, sell, or exploit any portion of the Service without written permission.
  • Use automated scripts, bots, or scrapers without prior written consent.
  • Misrepresent your identity or affiliation with any person or entity.

7. Intellectual Property

The Service and all materials therein, including software, design, text, graphics, logos, and icons, are the exclusive property of Quana LLP and are protected by applicable intellectual property laws of India and international treaties. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

You retain ownership of all data and content that you upload or create within the Service. By using the Service, you grant us a limited licence to host, store, process, and display your content solely for providing and improving the Service.

8. Data Protection & Privacy

We are committed to protecting your personal data in accordance with applicable Indian law, including the Information Technology Act, 2000, the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023, as applicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Quana LLP and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Our total aggregate liability shall not exceed the amount you have paid to us during the twelve (12) months preceding the event, or one thousand Indian Rupees (INR 1,000), whichever is greater.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may suspend or terminate your access at any time, with or without cause.

Upon termination, we may retain your data for a reasonable period in accordance with our data retention practices and applicable law.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Before initiating formal proceedings, the parties agree to attempt resolution through good-faith negotiations for a period of thirty (30) days.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you via email or through the Service. Continued use constitutes acceptance of the revised Terms.
